These Terms and Conditions ("Terms") govern your access to and use of the EBITAA platform ("Platform", "we", "our", "us"), owned and operated by Ebitaa Private Limited, registered in India.
By using the Platform, you agree to comply with these Terms. If you do not agree, you must discontinue use immediately.
1. Introduction
EBITAA is a cloud-based AI-powered financial reporting and analysis platform that enables users to upload accounting and financial data to generate reports, insights, and dashboards. These Terms form a legally binding agreement between you and Ebitaa Private Limited.
2. Eligibility
You must be at least 18 years of age and legally capable of entering a binding contract.
If you are accessing or using EBITAA on behalf of a company, partnership, or other entity, you represent that you are duly authorized to (a) register an account, (b) upload or share that entity’s data, and (c) bind the entity to these Terms.
EBITAA shall not be responsible for unauthorized use or data submission by unapproved individuals.
3. Account Registration and Security
You must register for an account to access the platform. You agree to provide accurate, complete, and current information during registration and to maintain it thereafter.
You are solely responsible for safeguarding your login credentials. You agree to notify us immediately of any unauthorized access. EBITAA reserves the right to suspend or terminate accounts for security breaches or misuse.
4. Subscription, Billing, and Payment
EBITAA operates on a subscription basis. By subscribing, you agree to pay all applicable fees shown at checkout. Payments are processed securely via third-party gateways (e.g., Razorpay or Stripe).
Fees are non-refundable. Subscription renewals are automatic unless canceled prior to renewal. EBITAA may modify pricing or billing terms with prior notice.
5. Data Ownership, Confidentiality, and Use
You retain full ownership of all financial and company data you upload. EBITAA acts solely as a data processor to provide analytics, reports, and insights.
We do not sell or disclose your data to third parties except as necessary to provide the service or as required by law.
You grant EBITAA a limited, non-exclusive license to store, process, and analyze data solely to deliver and improve the service. All data is treated confidentially using encryption and secure storage.
6. User Responsibilities
You are responsible for ensuring that all data uploaded is accurate, lawful, and authorized by your organization.
You must not use the platform to upload data that is confidential, proprietary, or personally identifiable without consent.
You agree to comply with all applicable laws, accounting standards, and data protection regulations.
7. AI Insights and Reporting Disclaimer
• EBITAA provides AI-generated insights and recommendations for informational purposes only. These do not constitute financial, legal, or professional advice.
You acknowledge that all decisions made based on AI-generated content are at your own risk (insights are informational only), and EBITAA assumes no responsibility for outcomes resulting from such use.
8. Acceptable Use
You agree not to:
- Use the service for unlawful, fraudulent, or malicious purposes.
- Attempt to hack, reverse-engineer, or bypass platform security.
- Upload or transmit viruses, malware, or harmful code.
- Infringe upon intellectual property rights or data privacy laws.
9. Intellectual Property
All intellectual property in EBITAA, including algorithms, source code, content, logos, and trademarks, are the property of Ebitaa Private Limited.
You may not copy, reproduce, or modify any part of the platform without prior written consent.
10. Data Residency and Cross-Border Transfers
EBITAA’s servers and data storage may be located within or outside India. By using the Platform, you consent to the transfer, storage, and processing of your data in jurisdictions where our facilities or service providers are located, subject to equivalent data protection standards.
11. Third-Party Services and Integrations
EBITAA may integrate or link to third-party services (e.g., payment gateways, cloud storage). We are not responsible for the terms, policies, or availability of those third-party services.
Use of such services is governed by their respective terms.
12. Service Modifications and Availability
We may add, modify, or discontinue features or services at any time without liability. We strive for 99.9% uptime but do not guarantee uninterrupted availability.
Scheduled maintenance and updates may temporarily affect access.
13. Limitation of Liability
To the fullest extent permitted by law, EBITAA shall not be liable for:
- Losses arising from reliance on reports or insights;
- Loss of business, data, or profits;
- Service interruptions, third-party actions, or user negligence.
Our total liability shall not exceed the subscription amount paid by you in the preceding 12 months.
14. Indemnification
You agree to indemnify and hold harmless Ebitaa Private Limited, its officers, and employees from any claims, damages, liabilities, or expenses arising out of your use of the platform or breach of these Terms.
15. Force Majeure
EBITAA shall not be liable for any delay or failure to perform due to events beyond its reasonable control, including natural disasters, cyberattacks, internet outages, or government actions.
16. Termination
We may suspend or terminate your access without notice if you violate these Terms or engage in misuse. Upon termination, your right to access the platform ceases immediately, though your data may be retained as per our Privacy Policy.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of India. Disputes shall be resolved amicably, failing which they shall be subject to arbitration in Udaipur, Rajasthan, India under the Arbitration and Conciliation Act, 1996, in English language.
18. Entire Agreement and Severability
These Terms constitute the entire agreement between you and Ebitaa Private Limited. If any provision is found invalid, the remaining provisions shall remain enforceable.
